HDFC Bank is weighing internal and external candidates after Sashidhar Jagdishan opted out of reappointment

HDFC Bank’s next CEO is now on investors’ minds. This comes after Managing Director and CEO Sashidhar Jagdishan said he would not ask for reappointment. His current term ends in October, after a second stint. The bank’s largest private lender has started a review of who could take over. The shortlist includes people inside HDFC Bank and also candidates from outside. On Saturday, HDFC Bank said it will move quickly on naming Jagdishan’s successor. Still, the bank did not explain why he chose not to take another term. Jagdishan has been at the helm since October 2020. When he steps down, it will be a major change in the bank’s leadership.

Kaizad Bharucha is now being seen as a possible pick from inside.

Kaizad Bharucha is the Deputy Managing Director. He runs the bank’s retail and wholesale operations. His term does not end until 2029. Even so, the bank is also looking at people outside the company. For roles at this level, it is typical to send more than one name to the Reserve Bank of India. Those names then go through review. So the final decision will hinge on both the bank’s own shortlisting and the regulatory okay.

HDFC Bank is in the spotlight as leadership changes.

The CEO handover is happening while people are paying closer attention to the bank’s senior team and how it handles governance. At the start of this year, its part-time chairman and independent director Atanu Chakraborty resigned without much warning. In his resignation note, he said some day-to-day practices and internal changes at the bank did not match his “personal values and ethics.” After that, many people started to wonder if there were tensions within the board. The move also led to new questions about governance. Some also questioned what Jagdishan’s role might be going forward. Soon after, HDFC Bank asked for a separate legal check on what Chakraborty had raised. The bank later said the review did not turn up solid proof of a governance breakdown.

Rajiv Kumar named part-time chairman

The lender later picked former finance secretary Rajiv Kumar to act as part-time chairman for three years. Before he started, veteran HDFC executive Keki Mistry served as interim chairman for a short period. Now that the chair change is done, investors and market watchers are likely to focus on the next step. They will pay close attention to who becomes the new chief executive. The new CEO will need to guide the bank and also respond to questions from investors. These questions are tied to the recent shifts in leadership and governance.

An external hire could change the tone

Some market watchers think HDFC Bank’s next move may depend a lot on whether the new leader comes from inside or outside the firm. They argue an outside candidate may bring a new start and a steadier run for a longer stretch. Others point to an internal option, such as Bharucha, saying it may keep things smoother since he already knows how the bank works day to day. So the final call may come down to how much the bank wants to hold to what it has, versus how much it wants a new style at the top.

What is next?

HDFC Bank is likely to speed up the hunt for Jagdishan’s replacement. It may check both inside people and outside hires. Then it will pass possible names to the RBI. Kaizad Bharucha is still a possible pick from within. If the bank chooses an external candidate, it could also change the way decisions are made. People will watch the final choice closely. HDFC Bank wants the leadership shift to feel calm and orderly. It also wants to move past the recent governance issues. The market reaction may depend on what the new CEO has done before, their trust in the role, and whether investors stay confident.
